Governance Committees
Our Committees

The Board of Directors, through the Board's Executive Committee, has oversight for the operations of the Association and is responsible for setting the overall policy and direction of the association. Additionally, the Board assists the NAEM Executive Director by establishing goals and objectives for the organization.

The Executive Committee is elected every two years. On the alternate year, individuals are elected to the Board of Directors. The Board's actions are supported through the work of ad hoc committees.

Board member-led committees also guide the Association's programming. Participation in these committees is open to all NAEM members. Individual NAEM members may participate in any of the general membership committees, such as our annual EHS conference the Forum, and our peer-to-peer environmental workshops and webinars.

Governance

Chair: Immediate Past President
Term: 2 years
Lead Staff Member: Executive Director
Proposed Minimum Committee Members: 3 members of the Board of Regents with one the 1st Vice President; President of Affiliate council

The purpose of this committee is leadership development and recruitment of members of the Board of Directors, and evaluation of the Board of Directors. In addition, the Governance committee shall develop the slates of candidates for the Board of Directors and officers for the Election meeting. Individuals with experience serving on board level of non-profits and associations are encouraged to participate. Individuals must be members of the Board of Regents.


Bylaws

Chair: General Counsel
Term: Unlimited
Lead Staff Member: Executive Director
Proposed Minimum Committee Members: 1st and 2nd Vice Presidents

The purpose of this committee is to review and update of the Bylaws as necessary. Individuals with experience serving on board level of non-profits and associations are encouraged to participate. Individuals must be members of the Board of Directors.


Finance

Chair: Treasurer
Term: 2 years
Lead Staff Member: Executive Director
Proposed Minimum Committee Members: 2 members of the Board of Directors
Exiting Committee Members: OPEN

This committee is responsible for financial oversight, accountability and the Association’s annual budget. Individuals with experience in finance and accounting are encouraged to participate in this committee. Individuals must be members of the Board of Directors.


Audit

Chair: Board of Regent Member
Existing Chair: OPEN
Term: 2 years
Lead Staff Member: Executive Director
Proposed Minimum Committee Members: 2 members of Board of Regent
Existing Committee Members: OPEN

The purpose of this committee is to provide oversight of the financial reporting process, strategic financial issues, selection of the independent auditor, and receipt of audit results. Individuals with experience in financial oversight, financial background, and managing budgets are encouraged to participate. Individuals must be members of the Board of Regents.


Strategic Planning

Chair: 1st Vice President or Designee
Existing Chair: Leslie Montgomery
Term: 2 years
Lead Staff Member: Executive Director
Proposed Minimum Committee Members: 4 members of the Association including the President of the Affiliates Council or their Designee.

The purpose of this committee is to generate research on our members (and on the broader E/EHS manager community) as to the professional needs, business management issues, and challenges as well as query about other aspects of the EHS management field to help formulate the strategic direction of the organization and set goals. This group will engage in dialogue with membership to understand needs and consult with external thought leaders to gather insight on emerging trends and opportunities to create value and growth for the organization. The strategic plan will also provide the foundation for marketing direction and membership recruitment. Individuals with experience or interest in developing organizational, strategic and tactical objectives and outcome metrics are encouraged to participate. Individuals must be members of the Association.
